Terms and Conditions
1. General
1.1 These Terms and Conditions constitute the entire agreement between the Buyer and Shenzhen Sanan Technology Co., Ltd. ("Seller").
1.2 Any divergence from these terms must be confirmed in writing by both parties.
1.3 All products are intended for commercial vehicle applications and must be installed and maintained by qualified professionals.
2. Quotations & Pricing
2.1 All quotations are valid for 7 calendar days unless otherwise stated.
2.2 Prices are denominated in USD (or RMB/EUR as agreed) and are exclusive of any taxes, duties, or freight charges.
2.3 Prices are subject to change without prior notice due to raw material cost fluctuations or exchange rate variations, except for confirmed orders.
3. Trade Terms & Shipping
3.1 EXW (Ex Works) Shenzhen, China
- All sales are based on EXW Shenzhen terms (Incoterms 2020) unless otherwise agreed in writing.
- The Seller’s responsibility ceases once the goods are made available at our warehouse.
- The Buyer bears all risks, costs, and responsibilities from that point forward, including loading, export clearance, international carriage, and import clearance.
3.2 Freight Arrangement
- The Buyer is responsible for arranging their own freight forwarder.
- If the Buyer requests the Seller to arrange air freight, the Seller will act solely as an intermediary:
- The exact rate quoted by the carrier will be passed through to the buyer without markup.
- The Buyer remains the principal contracting party with the carrier.
- Under no circumstances does the Seller assume liability for freight delays, damages, or carrier insolvency.
4. Payment Terms
4.1 Sample Orders: 100% payment in advance via PayPal or T/T.
4.2 Bulk Orders:
- 50% deposit by T/T before production.
- 50% balance by T/T before delivery (EXW)4.3 Irrevocable L/C is accepted for orders exceeding a certain amount (to be specified in PI).4.4 Bank charges shall be borne by the Buyer unless otherwise agreed.
5. Lead Time & Force Majeure
5.1 Order Processing Time: Lead time is determined by the current production schedule, material availability, and order quantity. Reference lead times are provided for estimation only.
5.2 Force Majeure: The Seller shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, port congestions, or government restrictions.
6. Warranty & Returns
6.1 Limited Warranty
- We warrant that our products shall be free from defects in material and workmanship under normal use for a period of 12 months from the date of shipment (EXW date).
- Warranty does not cover:
- Damage caused by improper installation, misuse, or accidents.
- Normal wear and tear.
- Consumable parts (e.g., SD cards, cables).
- Products modified or repaired by unauthorized personnel.
6.2 Return Policy (RMA)
- Returns are accepted only with a valid Return Merchandise Authorization (RMA) number.
- Buyer must report defects within 7 days of arrival.
- For warranty claims, the Buyer is responsible for return shipping costs to our facility in China.
- No refunds will be issued for non-quality related returns on custom/OEM products.
7. Intellectual Property
7.1 All product designs, software, firmware, logos, and documentation remain the intellectual property of the Seller.
7.2 The Buyer shall not reverse engineer, decompile, or disassemble any products.
7.3 Unauthorized reproduction or resale of our proprietary technology is strictly prohibited.
8. Limitation of Liability
8.1 The Seller’s total liability for any claim arising out of or relating to the products shall not exceed the amount paid by the Buyer for the specific product involved.
8.2 In no event shall the Seller be liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles. Any disputes shall be submitted to the competent courts in Shenzhen, China.
